BCCL provisions are amended

His Majesty King Hamad bin Isa Al Khalifa has issued on 28 September Decree No. 28 of 2020 amending certain provisions of the law in Bahrain concerning commercial companies. The amendments are aimed at bringing the Bahrain Commercial Companies Law (BCCL) in line with international best practice, particularly in promoting enterprise in Bahrain and encouraging investors to choose Bahrain as its destination of choice when doing business in the Middle East.

Amendments are in the following areas: Single Person Companies (SPC); Number of shareholders for a “limited liability” company (WLL); Minimum share capital requirements; Board membership; Remuneration of executive management and directors; Statutory reserves; Strategic shareholders; Mergers and acquisitions; Employee shares plans; Share capital increases; Limited partnerships; and Not-for-profit companies. In particular, SPCs have been merged with limited liability companies. Therefore, existing SPCs will be required to convert into a WLL company within six months of the announcement date.
